Acceptance of these terms

These Terms of Service ("Terms") form a binding agreement between you and Genible — a product of Alico India Solutions Private Limited, a company incorporated in India ("Genible," "we," "us," or "our") — and govern your use of the Genible website at genible.com and the Genible application and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

Eligibility

You must be at least 16 years old and capable of entering into a legally binding contract to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

Your account

You are responsible for:

  • Maintaining the confidentiality of your credentials.
  • All activity that occurs under your account.
  • Notifying us promptly of any unauthorized access at security@genible.com.
  • Providing accurate and current account information.

Your data

You own your data. "Customer Data" means data you submit to, or generate within, the Service — including entities, records, signals, files, messages, and the outputs of workflow runs.

You grant Genible a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, and process Customer Data solely as necessary to:

  • Provide the Service to you and other users you authorize.
  • Maintain backups, monitor security, and prevent abuse.
  • Comply with legal obligations.

This license terminates when you delete the data or close your account, subject to standard backup retention windows described in our Privacy Policy.

Acceptable use

You may not use the Service to:

  • Break the law or facilitate illegal activity.
  • Harass, threaten, defame, or harm another person.
  • Distribute malware or attempt to compromise the Service or another user's account.
  • Reverse engineer, decompile, or extract source code, except where applicable law expressly permits.
  • Scrape, crawl, or harvest data from the Service except via the documented API and within your plan's rate limits.
  • Build a competing product using the Service as a backend.
  • Send unsolicited bulk messages or spam through our integrations.
  • Upload content you do not have the right to upload.

We may suspend or terminate accounts that violate this section.

Third-party services and integrations

The Service lets you connect to third-party tools (Google Workspace, WhatsApp Business, OpenAPI services, payment processors, and others). Your use of those tools is governed by their respective terms, and we are not responsible for their availability, accuracy, or behavior. You authorize Genible to access and exchange data with those tools on your behalf according to the scopes you grant.

AI features and outputs

Genible uses large language models and other AI systems to power features including chat, predictions, recommendations, and form/workflow generation ("AI Features"). You acknowledge that:

  • AI outputs are probabilistic and may contain errors or omissions.
  • You are responsible for reviewing AI outputs before acting on them.
  • Genible grounds AI outputs in your workspace data via the Context Graph and provides evidence trails to help you verify them.
  • We pass your data to LLM providers only when responding to your queries, and only under zero-retention agreements where available.

Fees and payment

Paid plans are billed in advance on a monthly or annual cadence as stated at purchase. By subscribing, you authorize us to charge your payment method for the recurring fee. Fees are non-refundable except as required by law.

We may change pricing with at least 30 days' notice by email or in-product notice. Continued use after the effective date constitutes acceptance of the new pricing.

Failure to pay may result in suspension or termination of the Service. You remain liable for unpaid fees through the end of the then-current term.

Trials and beta features

We may offer free trials or beta-stage features. Beta features are provided as-is, may change without notice, and are excluded from any service-level commitments. We may discontinue beta features at any time.

Our intellectual property

Genible, the Genible logo, the Site, and the Service (excluding Customer Data) are owned by Genible and protected by intellectual-property laws. Nothing in these Terms grants you a license to our trademarks, trade dress, or brand assets except as required to use the Service as intended.

Feedback

If you send us feedback, ideas, or suggestions about the Service, you grant Genible a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.

Service availability

We work hard to keep the Service available and performant, but we do not guarantee uninterrupted availability. We may perform scheduled or emergency maintenance. Where we publish service-level commitments, those are set out in a separate written agreement.

Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your account if you violate these Terms, fail to pay, or if required by law.

If we terminate your account other than for cause, we will provide a reasonable export window so you can recover your data. See Data Deletion Instructions for how data is removed after termination.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT AI OUTPUTS WILL BE ACCURATE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GENIBLE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$100.

Indemnification

You agree to indemnify and hold Genible harmless from any claim, loss, or expense (including reasonable legal fees) arising out of your Customer Data, your use of the Service in violation of these Terms, or your violation of any third-party right.

Governing law and disputes

These Terms are governed by the laws of India, without regard to its conflict-of-laws principles. Any dispute will be resolved exclusively in the competent courts located in India, and you consent to the personal jurisdiction of those courts. Nothing in this section prevents either party from seeking injunctive relief in any competent court.

Changes to these terms

We may update these Terms from time to time. If we make a material change, we will notify you by email or in-product notice at least 30 days before the change takes effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

Miscellaneous

These Terms, together with the Privacy Policy and any order forms or written agreements between you and Genible, are the entire agreement between us. If any provision is unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
